Key terms
- Purpose
- Mutual non-disclosure and non-circumvention agreement relating to the PASOLA Signature Estate project (Sumba, Indonesia).
- Confidentiality
- Undertaking not to disclose, copy, use for any other purpose, nor discuss with third parties the confidential information shared by the other Party.
- Duration
- Five (5) years from the date of signature. Obligations survive any termination of commercial discussions.
- Non-circumvention
- For the duration of the agreement and three (3) years following its expiration, undertaking not to circumvent the other Party to deal directly with its identified counterparties.
- Non-solicitation
- For the duration of the agreement and twelve (12) months following its expiration, undertaking not to solicit identified employees, partners, or suppliers.
- Remedies
- In the event of breach, liquidated damages and injunctive relief. The harm is acknowledged as irreparable.
- Electronic signature
- Pursuant to Regulation (EU) No 910/2014 (eIDAS), the electronic signature has the same legal effect as a handwritten signature.
- Governing law
- French law. Exclusive jurisdiction of the Commercial Court of Paris.
